VANCOUVER, CANADA — (December 1, 2020) Moovly Media Inc. (TSX VENTURE: MVY) (OTC: MVVYF) (FRANKFURT: 0PV2) (“Moovly” or the “Company”) announces that it has arranged for and closed a non-brokered private placement (the “Private Placement”) through the issuance of 4,266,666 units (each, a “Unit”) at a price of $0.075 per Unit, generating gross proceeds of $370,000. Each Unit is comprised of one common share in the capital of the Company (a “Common Share“) and one common share purchase warrant (a “Warrant“). Each Warrant will entitle the holder to purchase one Common Share at a price of $0.125 per share for a period of three years from the date of issuance.
The net proceeds from this offering are expected to be used to fund sales and marketing growth, enhance and reinforce engineering and development efforts, and for general corporate purposes.
All of the securities issued under the Private Placement will be subject to a four month resale restriction and may not be traded until March 31, 2020. The completion of the Private Placement remains subject to final approval of the TSX Venture Exchange.
